I. EDITORIAL – AMENDMENT TO THE CORPORATE INCOME TAX CODE; PROTECTION OF PROPERTY RIGHTS THROUGH THE STRENGTHENING OF CRIMINAL PROTECTION FOR ILLEGALLY OCCUPIED PROPERTIES
The month of November was characterized, in legislative terms, by the publication of Law no. 64/2025 of November 7, which amended the Corporate Income Tax Code (“IRC Code”), reducing the general rates provided for in Article 87 of that Code. Thus, the aforementioned legal document provides that the rate provided for in paragraphs 1 and 5 of Article 87 of the IRC Code is 19%, 18%, or 17%, depending on whether the tax periods begin during 2026, 2027, or 2028, respectively.
November was also marked by the publication of Law no. 67/2025 of November 24, which protects property rights through the strengthening of criminal protection for illegally occupied properties, amending the Criminal Code and the Code of Criminal Procedure. The aforementioned Law revises Article 215 of the Criminal Code and introduces procedural mechanisms into the Code of Criminal Procedure that enable the swift restitution of the property to its owner. In addition, this law seeks to reconcile the protection of property rights with the protection of vulnerable socioeconomic situations when the occupation involves public housing.
Finally, we also highlight:
- Law no. 66/2025, of November 7, which makes the first amendment to Law no. 25-A/2025, of March 13, which reinstates parishes aggregated by Law no. 11-A/2013, of January 28, concluding the special, simplified, and transitional procedure for the creation of parishes provided for in Law no. 39/2021, of June 24;
- Ordinance no. 382/2025/1, of November 11, updating the currency devaluation coefficients to be applied to assets and rights disposed of during 2025;
- Ordinance no. 420/2025/1, of November 21, regulates the electronic transmission of data and the electronic processing of the procedure for advancing compensation to victims of violent crimes and domestic violence.
Within the scope of case law, we highlight the Constitutional Court Ruling no. 1098/2025, of November 18, Case no. 745/2024, in which it was decided: "Not to deem unconstitutional Article 15-F, paragraphs 3 and 4 of the New Urban Lease Regime, approved by Law No. 6/ 2006, of 27 February, as amended by Law No. 31/2012, of 14 August, interpreted as requiring that, in order to contest an eviction action, it is necessary to pay a deposit corresponding to the amount of rent, charges, or expenses in arrears, up to a maximum amount corresponding to six months' rent.”.
Finally, in the scope of Miscellaneous, we highlight the publication of the study “Influencers and IP”, which analyzed, for the first time, how digital content creators in the European Union (EU) understand and deal with intellectual property (IP). According to the main conclusions of this study, influencers who have registered IP rights are significantly more advanced in terms of their professional and entrepreneurial activities, with more than half (55%) having their own brand and a third (33%) running an online store. In comparison, among people without registered IP rights, only 24% have a brand and only 14% have an online store.

“I. - By distinguishing between the terms of the written communication of the termination of the employment contract—a brief statement of the facts justifying it—and the content of the dismissal notice—a detailed description of the facts—the interpreter cannot, and should not, equate the two.
II. - The possibility that, during the proceedings (within the limits set by the subject matter of the dispute), concrete expressions/generic expressions (or, in other words, legal facts) and, in general, to remedy any insufficiencies or inaccuracies in the presentation or concretization of the alleged facts, constitutes a general principle of procedural law, as reflected, in particular, in Articles 5(2)(a) and (b); 590(2)(b) and (4) to (7), and 602(1) in fine, of the CPC.
III. - In this procedural context, and taking into account the imperatives of unity and consistency of the legal system, it seems to us that there is nothing to prevent the “brief statement of facts” that must be included in the written communication sent by the employee to the employer for the purposes of terminating the employment contract (Article 395(1) of the CT), should include—in addition to strictly material facts—expressions that lack adequate detail, although they are likely to be substantiated in the course of the proceedings, especially in the initial petition, including its refinement.

II. It can be said that Article 294-C(1)(a) of the CVM should be interpreted in accordance with Article 500(2) of the CC. It would not make sense for securities law to provide less protection for third parties than that afforded to injured parties under Article 500 of the CC in the context of a commission.
III. The principal's liability for the acts of the agent is not a case of protecting appearances or protecting trust. Liability under Article 500 of the Civil Code does not presuppose any trust on the part of the third party in relation to the principal (or the agent).
IV. According to Article 500(1) of the Civil Code, the principal is liable, without fault, for damage caused to others by the agent, provided that the following conditions are met: id est, that there is a commission relationship, that the agent has an obligation to compensate, and that the harmful act was committed in the exercise of the function entrusted to the agent. This rule embraces a broad definition of the commission relationship, characterized by the functional or factual position of the principal, by the possibility of conditioning or controlling the agent's activity.

IV. A decision rendered in an accounting proceeding that, without considering the grounds for challenging the obligation, merely sets a deadline for the defendants to render accounts is null and void due to failure to rule;
V. When the sole purpose of the appeal is to challenge the validity of the contested decision, it is not possible for the court ad quem to substitute it, and the decision must be returned to the court of first instance.”.

“I - Article 69(4) of the IRC Code, in the wording prior to that introduced by Law No. 82-C/2014 of December 31, is a rule that establishes a requirement common to all companies in the group, whereby companies (whether dominant or dominated) that have recorded tax losses in the three periods prior to the start of application of the regime cannot be part of the group.
II - The dominant company referred to in the case file does not involve a company with its registered office, central administration, or principal place of business in the Union, but rather a national company, which means that the national legislature, in determining the requirements under which companies are allowed to opt for the RETGS and integration into the group of other companies that the dominant company chooses to acquire and include in the group, terminating that same regime when those requirements are not met, is not creating any obstacle to any of these freedoms, nor to the functioning of the internal market, insofar as the national legislature's objective was precisely to ensure the efficient functioning of the internal market by safeguarding equality between different companies and business groups with regard to the possibility of benefiting from it and, on the other hand, to guard against the use of the tax advantage granted to groups of companies for the pursuit of other ends to the detriment of those targeted, thus preventing the regime from being used for purely tax purposes.
III - The decision to form a group of companies, as well as the option to apply the special taxation regime for groups of companies (if the access requirements are met), are decisions that are entirely at the discretion of the economic operators involved and do not correspond to any state (or other) imposition, with neither neutrality nor the freedoms of initiative and business management and organization being affected.
IV - The optional nature of the legal establishment of such a regime also precludes criticism of it in light of the principle of taxation based on actual profit.”.

On November 12, the European Union Intellectual Property Office (EUIPO) published the study “Influencers and IP,” which analyzes, for the first time, how digital content creators in the European Union (EU) understand and deal with intellectual property (IP).
The study compiled the perspectives of 300 influencers active on Instagram, TikTok, and YouTube from the 27 EU Member States. Influencers and content creators on social media currently play an important and growing role in shaping the attitudes, behaviors, and consumption patterns of European citizens, particularly younger ones.
According to the main findings of this study, influencers who have registered IP rights are significantly more advanced in terms of their professional and entrepreneurial activities. More than half (55%) have their own brand, and one-third (33%) run an online store. In comparison, among those without registered IP rights, only 24% have a brand, and only 14% have an online store.
Another finding relates to the use of Artificial Intelligence (AI) by digital influencers. According to this document, one in two influencers (51%) uses AI tools for their activities. Half of influencers (47%) are concerned about the possibility of their content being altered and reused by AI for the benefit of others, while two-thirds (72%) are aware of the possibility that AI-generated results may infringe existing IP rights.
On November 17, provisional statistics were released on industrial property rights (IPR) applications and grants updated to October 2025, highlighting the following:
(i) Between January and October 2025, 907 applications for national inventions were filed (up from 743 applications filed in the same period last year);
(ii) With regard to grants, 203 national inventions were granted between January and October 2025, compared to 169 between January and October 2024, representing an increase of 20.1%;
(iii) The total number of International Applications (PCT) and European Patent Applications, via INPI as the Receiving Office, was 58 between January and October 2025 (lower than in the same period in 2024). The number of European Patent validations filed in Portugal between January and October 2025 decreased by 25% compared to the same period last year, from 2,244 validations filed between January and October 2024 to 1,683 between January and October 2025;
(iv) National trademarks and other distinctive signs of trade (OSDC) accounted for 19,639 registration applications between January and October 2025 (higher than the 18,174 applications filed in the same period of 2024), representing an increase of 8.1%;
(v) With regard to International Trademark Designations for national examination and registration, there was a slight increase compared to the same period last year. 856 International Trademark Designations were filed between January and October 2025 and 850 between January and October 2024.
