I. EDITORIAL – TRANSPOSITION OF DIRECTIVE 2005/36/EC ON THE RECOGNITION OF PROFESSIONAL QUALIFICATIONS; TRANSPARENCY RULES APPLICABLE TO PRIVATE ENTITIES AND TRANSPARENCY REGISTER FOR INTEREST REPRESENTATION

The month of January was characterized, in legislative terms, by the publication of Law no. 3/2026, of January 6, which completes the transposition of Directive 2005/36/EC on the recognition of professional qualifications, as well as by the publication of Law no. 5-A/2026, of January 28, which, on the one hand, approves transparency rules applicable to private entities, both national and foreign, that legitimately represent interests before public entities and, on the other hand, creates the Transparency Register for Interest Representation.

Finally, we also highlight:

  • Law no. 4/2026, of January 7, which reinforces the penalties resulting from violations of Decree-Law no. 85/2020, of October 13, and establishes a prohibition on train drivers performing their duties under the influence of alcohol, narcotics, or psychotropic substances; 
  • Ordinance no. 12-A/2026/1, of January 6, which creates and regulates the electronic platform for the management of the Social Mobility Subsidy;
  • Decree-Law no. 25/2026, of January 28, adapting domestic law to Regulation (EU) 2021/784 on combating the dissemination of terrorist content online. 

Within the scope of case law, we highlight the Judgment of the Lisbon Court of Appeal of 15 January, Case no. 23266/21.8T8LSB.L1-8, in which the Court decided as follows: 1. The appeal on the matter of fact must be rejected in relation to the matter of fact judged as proven in favor of the Plaintiff/appellant and on the basis of which the latter obtained a (even partial) victory in the case, when, as a result of the appeal being upheld and the issuance of a decision different from that sought by the respondent in the appeal, the latter ultimately prevailed in the action (cf. Article 631(1) of the CPC). 2. Facts that are strictly conclusive and which, at the same time, embody legal concepts cannot form part of the decision on the facts (proven or unproven), as they contain within themselves the decision on the case. 3. In the context of contractual liability, non-pecuniary damages that, due to their severity, deserve legal protection are also compensable, under the terms of Article 496(1) of the Civil Code, provided that the wrongdoer's culpable breach and the causal link between such breach and the damage are verified. 4. In the context that the Plaintiffs employed all their personal and financial efforts to rebuild the house where they went to live; that as a result of the repair work, water and moisture infiltration occurred in two rooms of the house (kitchen and room with fireplace); that as a result of these defects, the Plaintiffs felt frustrated, sad, and constrained to live their daily lives in those areas of the house, and considering that these defects are likely to endanger their health and/or at least their quality of life, especially when it was also established that the Plaintiff is a cancer patient (the comfort of housing cannot fail to be a relevant factor in her life) and that the Plaintiff, during the pandemic, also had to use the house to carry out part of his work, we must conclude that the aforementioned damages are serious enough to warrant legal protection. 5. In this context, and since nothing has been established about the economic conditions of the injuring party and the injured parties, it is considered fair, appropriate, and proportional to the seriousness of the damages suffered to set the compensation at €5,000.00.”.

Finally, in the scope Miscellaneous, we highlight the announcement of the opening of applications, until 31 March, for the WIPO Awards 2026, where startups and SMEs from around the world are recognized for using intellectual property to expand their businesses and create social impact.

I. The reduction of the penalty clause on the grounds of “manifest excessiveness” can only be used in exceptional situations, where there is clear abuse, blatant injustice arising from the circumstances, compared to the damage suffered by the creditor as a result of the breach, if it proves to be extraordinarily excessive, exceeding the limits of reasonableness and common sense.

II. In assessing this manifest excess, a comparison should be made between the amount resulting from the penalty clause and the magnitude of the damage suffered by the creditor as a result of the breach, taking into account all the circumstances of the specific case.

III. Once it has been verified that the penalty clause is clearly excessive, the judge may reduce it, equitably and without any rigid limit, even below the value of the damage caused as a result of the breach, but should not undermine its coercive value.

In the case file, the penalty clause is clearly excessive, according to which it was agreed that in the event of breach of the contract, the debtor would be obliged to pay compensation corresponding to the value of the kilograms of coffee not purchased, at the price at which it would have been purchased from the creditor by the debtor.”.

In the context that the Plaintiffs employed all their personal and financial efforts to rebuild the house where they went to live; that as a result of the repair work, water and moisture infiltration occurred in two rooms of the house (kitchen and room with fireplace); that as a result of these defects, the Plaintiffs felt frustrated, sad, and constrained to live their daily lives in those areas of the house, and considering that these defects are likely to endanger their health and/or at least their quality of life, especially when it was also established that the Plaintiff is a cancer patient (the comfort of housing cannot fail to be a relevant factor in her life) and that the Plaintiff, during the pandemic, also had to use the house to carry out part of his work, we must conclude that the aforementioned damages are serious enough to warrant legal protection. 5. In this context, and since nothing has been established about the economic conditions of the injuring party and the injured parties, it is considered fair, appropriate, and proportional to the seriousness of the damages suffered to set the compensation at €5,000.00.”.

Judgment of the Lisbon Court of Appeal, of January 15, Case no. 18875/21.8T8LSB.L1-8: Contract for work. Execution of work. Objective impossibility.

Summary

1. If the contract for work has to be amended for technical reasons, as it is unenforceable as presented, the procedure to be followed is that set out in Article 1215 of the Civil Code.

2. Following this reasoning, the plaintiff/appellant cannot invoke the provisions of Article 1229 of the Civil Code because there is no withdrawal/termination due to the non-acceptance of the judicial amendments established.

3. Given the unenforceability of the contract signed by the parties on January 8, 2019, we are faced with an objective impossibility of executing the work, for reasons not attributable to the debtor, in which case the obligation is extinguished, pursuant to Article 790 of the Civil Code.

4. In this case, the defendants could not unilaterally terminate the contract for services, invoking its expiration due to objective impossibility of performance, and therefore the plaintiff cannot be compensated for the termination of the contract and based on Article 437 of the Civil Code, which is not applicable to the situation described.

5. As no losses, costs, additional costs, or additional charges incurred by the plaintiff have been proven, it has not been proven that there is any amount owed by the defendants that justifies the right of retention.”.

Judgment of the Court of Appeal of Porto, of January 16, Case no. 833/08.0YYPRT-B.P1: Compulsory financial penalty. Enforceability of the obligation. Payment in installments. Early maturity. 

Summary

I - The compulsory financial penalty, provided for in Article 829-A(4) of the Civil Code, arises automatically from the law itself, by virtue of the final judgment condemning the debtor to fulfill a financial obligation, and aims to encourage compliance and strengthen the judicial system, overcoming the debtor's opposition or indifference.

II - Since the ratio legis of the rule contained in Article 829-A, paragraph 4, of the Civil Code is to compel the debtor to fulfill the obligation from the moment it becomes due, discouraging possible non-compliance and thus also ensuring and reinforcing respect for and compliance with judicial decisions, there is no justification for its application as long as the obligation is not enforceable.

III - Considering, furthermore, the rationale for the automatic application of the 5% per annum rate provided for in Article 829-A(4) of the Civil Code, there is no justification for imposing additional interest at a rate of 5% per annum on the obligor while they make the payments, on the respective due dates, which were set in the agreement approved by the judgment.

IV - In the case of a judgment approving an agreement in which the parties stipulated the payment of a certain amount in 69 installments, with that decision becoming final, the total amount owed is not enforceable. As long as the defendant complies with the agreement by making the payments on the respective due dates, the financial penalty provided for in Article 829-A(4) of the Civil Code does not apply.

V - The provisions of Article 781 of the Civil Code give the creditor the right to demand immediate payment of all installments in the event of non-payment of one of the installments. If the creditor wishes to exercise this right, they must communicate this intention to the debtor, calling on them to fulfill the entire obligation.

VI - If the creditor has not given notice to the debtor, the installments become due upon service of process on the debtor in the context of enforcement proceedings.”.

Judgment of the Supreme Administrative Court, of January 15, Case no. 0109/23.2BECTB: Hierarchical appeal. Confirmatory act. Challengeability. Act. 

Summary

I - In order to speak of a purely confirmatory act, it is not enough for the decision to be identical, that is, that the legal effects produced are identical, or that there is an identity of subject matter, even if it leads to the same decision, which can be reached by invoking or using different grounds, in the certainty that this different reasoning will be sufficient to alter and modify the assumptions of the decision and remove the qualification of the act as merely confirmatory.

II - A purely confirmatory act is one that has as its object an act previously performed, and for its verification it is important that the following requirements be cumulatively verified:

a) That the confirmed act was harmful;

b) That such act was known to the interested party;

c) That between the confirmed act and the confirmatory act there is identity of subjects, object, and decision.

III - Given that both decisions were made within the scope of the same administrative proceeding conducted by the same public entity, the introduction of additional and, in some ways, different grounds, adding new arguments to the primary act, is sufficient to ensure that we are not dealing with a merely confirmatory act.

IV - In fact, according to the provisions of Article 53(1) of the CPTA, the notion of a confirmatory administrative act requires that these acts merely reiterate, on the same grounds, decisions contained in previous administrative acts, which is not the case here, since the act issued in the Hierarchical Appeal adduces factual and legal grounds that do not fully coincide with those contained in the primary act, thus lacking one of the essential prerequisites for the confirmatory nature of the contested decision.

V - The decision of the Hierarchical Appeal, which is not limited to confirming the primary act, but rather adds innovative elements to the original act, provides sufficient legal grounds to prevent it from being considered a simple confirmatory act, thereby legitimizing the contestability of the secondary act.

VI - Since the hierarchical appeal is based on a legal opinion subsequent to the primary act, which in turn innovates in the reasoning and argumentation supporting the rejection of the request, it is clear that we are not dealing with a merely confirmatory act, and as such, it is contestable.”.

The Council of Ministers, meeting on January 9, approved a Council of Ministers Resolution creating the Strategy for the Rights of Persons with Disabilities for the period 2026-2030. It approved a Council of Ministers Resolution adopting the second Action Plan for the Circular Economy (PAEC 2030) in Portugal, in line with the European Union's Action Plan for the Circular Economy and the Sustainable Development Goals adopted by the United Nations in the 2030 Agenda.

The Council of Ministers, meeting on January 22, approved a Decree-Law revising the Legal Framework for Driving Instruction. It approved a Decree-Law creating an integrated and cross-cutting legal framework for the protection of passenger rights, applicable to all public transport, placing citizens at the center of mobility policies and strengthening confidence in public transport services. It approved a Decree-Law that comprehensively regulates driving times, breaks, and rest periods, the organization of drivers' working time, the use of tachographs, and the respective administrative offense regimes.

V.2.3. Industrial Property

On January 16, provisional statistical data were released on applications and grants of Industrial Property Rights (IPR) updated to December 2025, highlighting the following:

i) In 2025, 1,169 applications for national inventions were filed (up from 951 applications filed in the same period last year);

(ii)With regard to grants, 220 national inventions were granted in 2025, compared to 207 in 2024, representing a growth of 6.3%;

(iii) The total number of International Applications (PCT) and European Patent Applications, via INPI as the Receiving Office, was 82 in 2025 (higher than in the same period in 2024). The number of European Patent validations filed in Portugal in 2025 decreased by 24.6% compared to the same period last year, from 2,640 validations filed in 2024 to 1,991 in 2025; 

(iv) National trademarks and other distinctive signs of commerce (OSDC) accounted for 23,222 applications in 2025 (up from 21,529 applications filed in the same period in 2024), representing a growth of 7.9%; 

(v) With regard to International Trademark Designations for national examination and registration, there was a decrease compared to the same period last year. A total of 1,006 International Trademark Designations were filed in 2025 and 1,044 in 2024.
