I. EDITORIAL – AMENDMENT TO THE PERSONAL INCOME TAX CODE; AMENDMENT TO THE PROVISIONS OF THE CODE OF CIVIL PROCEDURE RELATING TO THE DISTRIBUTION OF CASES
The month of July was characterized, in legislative terms, by the publication of Law No. 55-A/2025, of July 22, which amended the Personal Income Tax Code, as well as the publication of Law No. 56/2025, of July 24, which amended the provisions of the Code of Civil Procedure relating to the distribution of cases.
Also noteworthy, at a legislative level, are:
- Decree-Law No. 86-A/2025, of July 18, which created an extraordinary pension supplement;
- Law No. 55-C/2025, of July 22, which created the National Foreigners and Borders Unit within the Public Security Police.
Within the scope of case law, we highlight the Supreme Court of Justice's ruling of July 3, Case no. 550/19.5T8BNV.E3.S1, in which it was ruled: “I. The obligation to pay the contributions necessary to cover the expenses required for the maintenance and enjoyment of the common parts of the building and for the payment of services of common interest, provided for in Article 1424 of the Civil Code, is of a propter rem nature. II. The propter rem obligation is always automatically transferred to the new holder of the real right to whose status it is genetically linked. III. In the case in question, the security, cleaning, conservation, maintenance, and other services necessary for decent living conditions, environmental protection, quality of life, and the natural and cultural heritage of the area inherent to and surrounding the respective urbanization that are included in the development's subdivision permit constitute charges for the co-owners, regardless of whether or not they are members of the association set up for this purpose by their owners.”.
Finally, in the Miscellaneous, highlighting the update of fees relating to the various types of Industrial Property for the year 2025, effective as of July 1.

“I – As a typical general accessory clause, the Condition or conditional stipulation reflects the parties' subordination of the effects of the transaction to a future and uncertain event, unfolding, as prescribed in Article 270 of the Civil Code, into a suspensive condition and a resolutive condition;
II – If the legal transaction only takes effect after the occurrence of that event, the condition is said to be suspensive; if the transaction ceases to have any effect after the occurrence of the event, the condition is said to be resolutive;
III - - Defects of will translate into disturbances in its formative process, in the sense that, although in accordance with the statement issued, it is determined by anomalous and illegitimate motivations, that is, the will was not formed in a “normal and sound manner”;
IV - Among these defects, we have error-defect and fraud, legally registered, respectively, in articles 251 and 252 and articles 253 and 254 of the Civil Code;
V - the error-vice translates into an inaccurate or imperfect representation, or ignorance of a circumstance, fact, or law, which was decisive in the decision to carry out the transaction, in the sense that if the declarant had known or been informed about such circumstance, that is, if they had been fully aware of the reality, they would not have entered into any transaction or would not have entered into the transaction on the terms on which it was concluded;
VI - constituting an error in the determining motives of the will or error of motive, with regard to its modalities, such error may affect the person of the declarant, the object of the transaction, mediate or immediate (Article 251), or, residually, on motives not relating to either the declarant or the object of the transaction (Article 252);
VII - for the error-defect to be relevant as a cause for annulment, it must be essential, that is, it must be an error that led the errant declarant to conclude the transaction, since without it, no transaction would have been concluded or a transaction with another object or of another type or with another person would have been concluded;
VIII – within the scope of the promissory contract granted, concluding that there is no moratorium situation burdening the promissory sellers (regarding the claimed delivery of a duly updated license to use the property, for the consequent granting of the promised contract), it is unjustified to grant their admonitory interpellation for compliance, so that, if this is not complied with, that putative default situation could be converted into a definitive breach leading to the termination of the promissory contract, as well as the consequent production of the effects resulting from that terminating judgment;
IX – therefore, it is necessary to conclude that the conventional or legally required requirements or assumptions have not been met in order to conclude that the defendants, as promissory sellers, are effectively contractually liable, since the plaintiff, as promissory buyer, has failed to prove that the defendants were bound by the alleged contractual obligation and that, consequently, they definitively breached it.”

Judgement of the Supreme Administrative Court, of July 3, Case no. 0909/23.3BELRA: Liability Delay in Justice. Insolvency Administrator. Civil Liability.
Summary:
“I - According to the findings, the main insolvency proceedings were filed on September 5, 2013, the Plaintiff became an intervening party on June 11, 2014, and the proceedings were closed on May 17, 2023, taking approximately nine years from the time the Plaintiff became an intervening party in the proceedings.
II - The delay in the actions taken under the direct responsibility of the Insolvency Administrator, within the scope of his own powers, is the responsibility of the Insolvency Administrator, under the terms of Article 59 of the Insolvency and Corporate Recovery Code (CIRE), approved by Decree-Law No. 53/2004, of 18/03, relating to the regime of his specific responsibility.
III - This means that it is in light of Article 59 of the CIRE, by establishing a private civil liability regime applicable to the figure of the Insolvency Administrator, that the answer to the dispute regarding the legal regime applicable to the civil liability of the Judicial Administrator must be obtained.
IV - All the more so because, according to Article 1(1) of the RRCEE, approved by Law No. 67/2007, of 31/12, the civil liability of the State and other legal persons governed by public law for damages resulting from the exercise of legislative, jurisdictional, and administrative functions “is governed by the provisions of this law, in all matters not provided for in special law.”
V - In view of the provisions of Article 59 of the CIRE, there can be no doubt that Portuguese law establishes a special regime of civil liability for the Insolvency Administrator, under which he is personally liable for damages caused by culpable breach of his duties, including violation of the legally established deadlines.
VI - As follows from Article 58 of the CIRE, the judge's role in the case focuses on requests for information and the preparation of reports, with a view to ascertaining the legality of the actions and decisions taken by the Insolvency Administrator, but cannot intervene or even replace the Administrator, as the latter has his own powers, which he exercises in a personal capacity as a result of his appointment.
VII - The State is responsible for administering justice and, in particular, judicial functions, but, by choice of the legislator, a wide range of actions have been removed from the jurisdiction of the judge and the court and assigned to other agents who collaborate and act with them, but in functionally and materially different terms, since judicial functions are not at issue.
VIII - It is necessary to separate and distinguish between the two levels of action in insolvency proceedings, as there are judicial phases, which are the responsibility of the judge, and other phases that are not the responsibility of the court, but rather an agent to whom the law has assigned such functions, under a system of attribution of powers, establishing rights and duties and specific regimes of civil, disciplinary, and administrative liability, including through the imposition of compulsory insurance to cover compensation for damages caused by their actions.
IX - All actions of the Insolvency Administrator require his personal and direct responsibility, justifying the requirement to take out professional civil liability insurance as a legal and effective guarantee for the protection of third parties who are harmed by unlawful and culpable acts, whether by action or omission, that cause damage.
X - The regulation of the specific civil liability regime of the Insolvency Administrator does not allow for liability that directly and automatically affects the State, but rather within the framework of civil liability in general, according to the general rules contained in the Civil Code.
XI - In the present case, the State's liability is ruled out, as the delay attributable to the State is only 2 years, 11 months, and 29 days, and the reasonable time limit for the decision on the insolvency proceedings at first instance has not been exceeded.
XII - The constitutionalization of the non-contractual liability of the State and other public or private legal entities under the powers of authority presupposes action under one of the functions of the State, whether administrative, jurisdictional, or legislative, and the actions of the heads of bodies, officials, or agents, which in the present case does not exist in any of the respective dimensions.”

On July 16, provisional statistics were released on industrial property rights (IPR) applications and grants for June 2025, highlighting the following:
- In the first half of 2025, 493 national invention applications were filed (up from 459 applications filed in the same period last year);
- With regard to grants, 146 national inventions were granted between January and June 2025, compared to 96 between January and June 2024, representing an increase of 52.1%.;
- The total number of International Applications (PCT) and European Patent Applications, via INPI as Receiving Office, was 35 in the first half of 2025 (the same figure as in the first half of 2024). The number of European Patent validations filed in Portugal between January and June 2025 decreased by 25.6% compared to the same period last year, from 1,353 validations filed between January and June 2024 to 1,006 between January and June 2025:
- National Trademarks and Other Distinctive Signs of Commerce (OSDC) accounted for 11,804 registration applications in the first half of 2025 (up from 11,441 applications in the same period of 2024), representing a growth of 3.2%;
- With regard to International Trademark Designations for national examination and registration, there was an increase compared to the same period last year. 506 International Trademark Designations were filed in the first half of 2025 and 488 in the first half of 2024.
