I. EDITORIAL – AMENDMENT OF THE LEGAL REGIME FOR THE ENTRY, STAY, EXIT AND REMOVAL OF FOREIGNERS FROM NATIONAL TERRITORY; PARTIAL TRANSPOSITION OF THE DIRECTIVES ON THE VAT EXEMPTION REGIME APPLICABLE TO SMALL BUSINESSES
The month of February was characterized, in legislative terms, by the publication of Law no. 9/2025, of February 13, which amends Law no. 23/2007, of 4 July, which approves the legal regime for the entry, stay, exit and removal of foreigners from national territory, implementing Regulation (EU) 2017/2226 of the European Parliament and of the Council, of 30 November 2017, and modifying the temporal validity of residence permits for citizens of Member States of the Community of Portuguese speaking Countries. In addition, the month of February was marked by the publication of Law no. 16/2025, of February 24, which authorises the government to partially transpose Directives (EU) 2020/285 and (EU) 2022/542, on the value added tax exemption regime applicable to small businesses.
Also noteworthy, at a legislative level, are:
- Law no. 11/2025 of February 17, which authorises the government to partially transpose Directive (EU) 2022/542 with regard to value added tax rates, amending the VAT Code and the special taxation regime for second-hand goods, works of art, collectors' items and antiques;
- Ordinance 41/2025/1 of February 17, which amends the financial statement models for the different entities that apply the Accounting Standardisation System, following the changes to Accounting and Financial Reporting Standard 25;
- Law no. 18/2025, of February 26, which authorises the government to amend the cash VAT regime, approved by Decree-Law no. 71/2013, of May 30.
Whitin the scope of case law, we highlight the Judgement of the Constitutional Court no. 142/2025, of February 18, Case no. 459/2023, in which it decided: "i) To not declare unconstitutional the rule arising from paragraphs 4 and 5 of article 84 of the Competition Legal Framework, approved by Law no. 19/2012, of May 8, in its original wording, which determines that the appeals to decisions of the Competition Authority imposing fines have, as a rule, merely devolutive effect, and may only be given suspensive effect when the execution of the decision causes the defendant considerable damage and the latter provides security in lieu thereof; and consequently; ii) To dismiss the appeal."
Finally, in Miscellaneous, the Council of Ministers approved two law proposals to be submitted to Parliament: (i) one amending the provisions of the Code of Civil Procedure relating to the distribution of cases; (ii) the other adding amendments, following the approval of the law on the Centre for Judicial Studies (CEJ), to the statutes of Judicial Magistrates, the Public Prosecutor's Office and the Administrative and Tax Courts, as well as to the Law on the Organisation of the Judicial System.

2. Article 24 no. 4 of Regulation No 1215/2012 must be interpreted as not applying to a court of a third State and, consequently, as not conferring any jurisdiction, whether exclusive or otherwise, on such a court as regards the assessment of the validity of a patent granted or validated by that State. "I - The basis for equating the regime of alteration of legal classification with that of non-substantial alteration of facts is the idea that the accused has the right to defend himself against the facts imputed to him, as well as against their legal classification, the latter requiring a technical defence.

III - The conversion of fixed-term employment contracts into open-ended employment contracts does not constitute an effective increase in the number of workers, nor in the number of jobs, since the number of workers is the same, what is happening is a change in the legal relationship they held.
IV - The transfer of an employer's contractual position in an employment relationship for an indefinite period does not imply the creation of a job.
The net creation of jobs requires verification of an effective increase in the overall number of workers aged no more than 30"

The Council of Ministers, meeting on February 13, approved:
- A Decree-Law approving the institutional restructuring of the National Anti-Corruption Mechanism (MENAC);
- A Bill, to be submitted to Parliament, which amends the provisions of the Code of Civil Procedure relating to the distribution of cases;
- A Bill, to be submitted to the Portuguese Parliament, which adds amendments, following the approval of the law on the Centre for Judicial Studies (CEJ), to the statutes of the Judicial Magistrates, the Public Prosecutor's Office and the Administrative and Tax Courts, as well as to the Law on the Organisation of the Judicial System.

The Council of Ministers, meeting on February 20, approved:
- A Decree-Law that eliminates the obligation to report income subject to non-inclusive rates and income not subject to Personal Income Tax and clarifies which assets held in countries, territories or regions with a clearly more favourable tax regime must be declared;
- A Regulatory Decree that extends the universe of taxable persons covered by the automatic personal income tax return to include personal income tax assessments to which the deduction from the taxable income relating to the costs of providing domestic labour is applied.

V.2.2. Industrial Property
On February 12, provisional statistical data on Industrial Property Rights (IPR) applications and grants for January 2025 was released:
i) In January 2025, were filed, 64 national invention applications up from 57 in the same period last year;
ii) As far as grants are concerned, 31 national inventions were granted in January 2025, compared to 18 in 2024, which represents an increase of 7.2 per cent;
iii) The total number of International (PCT) and European Patent applications was 6 in 2025;
iv) The number of objects included in National Design applications rose from 39 in January 2024 to 103 in 2025;
v) National Trademarks Other Distinctive Signs (OSDC) registered 2,109 applications in January 2025 (up from 2,027 applications in the same period in 2024), representing growth of 4 per cent.
vi) In January 2025, there were 17 applications for International Trademarks originating in Portugal, more than the 6 applications registered in the same period in 2024. The figures for European Union trade mark applications originating in Portugal show a decrease over the same period, from 170 to 156 applications.
